Fees :
The Agent shall be entitled to a fee of 10% of the agreed sales price plus VAT (if applicable) for each share sold through a direct introduction to the Vendor.
In the event that a single share value or the cumulative value of shares sold by the same Vendor in the same yacht exceed £750,000 then the overall fee shall be adjusted to be 8% plus VAT of the cumulative total.
Exclusivity :
The Agent does not require exclusivity and operates a strict “no sale no fee” policy. The Vendor is thus able to market elsewhere if he so desires. Such alternative marketing must be at a price no less than the Agent is required to list at as stated in this agreement or subsequently amended.
In the event that the Vendor finds a possible buyer outside this arrangement the Agent must be informed immediately and the name of the buyer supplied. Failure to give this information shall result in an administration charge by the Agent of £500 plus VAT.
Cancellation of the agreement :
The agreement can be cancelled at any time by either party by written notice or email. If by email the notice shall only be deemed to be effective if a reply is received.
In the event that a sale proceeds with a buyer introduced by the Agent within 12 months of any cancellation of this agreement, the Agent shall be entitled to receive the full level of fees described herein.
Withdrawal from sale :
In the event that the Vendor withdraws from a sale arranged by the Agent to a proceedable buyer then the Agent shall be entitled to the fees as described herein.
Definition of proceedable buyer - This shall be a person who has agreed to purchase a share at an agreed price and who has not stated that the purchase is subject to any conditions and who has been accepted by the remaining owners of the yacht as a suitable owner and by the Yacht insurers as an acceptable risk.
Transfer of Buyer :
In the event that a buyer, introduced to the Vendor, purchases a share in the same yacht offered for sale by another share owner of the Yacht, then the seller shall be deemed to have accepted the terms of this agreement and fees shall be payable. It shall be the Vendors’ responsibility to make the Seller aware of this.
Details and inventory :
The Vendor shall supply the Agent with full and truthful information, specification and inventory regarding the Yacht in order to allow effective marketing of the Yacht. In the event that it transpires that there is an error in this detail as supplied which results in a claim for damages by a Buyer, then the Vendor shall assume full responsibility to compensate the Buyer in whatever way is deemed acceptable.
In the even that this results in a repurchase of the share, the Agent shall not be required to refund any fees earned under the terms of this agreement.
The Agent shall make up an advert and require that this is checked and approved by the Vendor prior to it being made public.
(Note, the Agent shall not include subjective remarks or descriptions in the detail of the yacht other in a section named “Owners comments”. Thus remarks such as “sails in good condition” shall not be included).
Share agreement :
The agent requires that all share groups under its listing shall have a suitable share agreement to define the relationship of the various owners with each other and the Yacht. The agent will if required supply a draft agreement and reserves the right to approve any agreement proposed by the Vendor.
In the event that the Vendor has requested a copy of the draft share agreement and then cancels this agreement before any sales have been made as a result of an introduction by the Agent then a fee of £500 + VAT shall be due to the Agent for the supply of the Agreement.
Introduction protocol :
The agent shall collect sailing experience, employment and domestic information regarding any interested Buyer which shall be discussed with the Vendor prior to a formal introduction is made. It shall be the responsibility of the Vendor to make his own assessment of the suitability of the buyer in terms of sailing experience and compatability within the group.
The Vendors hereby appoints the Agent to market and offer for sale shares in the Yacht in the sizes and at the prices stated and under the terms defined in this agreement.
